1. INTERPRETATION AND DEFINITIONS

1.1 Definitions

In these Terms and Conditions, the following terms shall have the meanings set out below:

"Agreement" – These Terms and Conditions and any order confirmation, invoice, quotation, or other document incorporated by reference.

"Buyer" or "Customer" – Any individual, entity, organization, contractor, developer, dealer, or distributor purchasing materials from Ravathi Infra, whether directly or through the website.

"Company" or "Seller" or "Ravathi Infra" – Ravathi Infra, a building materials supplier operating across South India, including Tamil Nadu, Karnataka, Telangana, Andhra Pradesh, and Kerala.

"Goods" or "Materials" or "Products" – All building materials, construction supplies, cement, steel, stones, aggregates, bricks, pipes, fittings, and other items supplied by Ravathi Infra as per specifications.

"Website" – www.ravathiinfra.com and associated digital platforms, mobile applications, and online portals used for transactions.

"Order" – Buyer's request for purchase of Goods, whether submitted through the website, email, telephone, or in-person.

"Order Confirmation" – Ravathi Infra's acknowledgment of the Order, including details of Goods, quantity, price, and delivery terms.

"Quotation" – Ravathi Infra's written estimate of price and delivery for requested Goods.

"Delivery Point" – The location specified by the Buyer for delivery of Goods, including site address, warehouse address, or designated collection point.

"Invoice" – Ravathi Infra's bill for Goods and services, including GST and applicable charges.

"GST" – Goods and Services Tax as per the applicable GST Act, 2017, and rules thereunder.

"ISI Mark" or "BIS Certification" – Bureau of Indian Standards mark and certification indicating compliance with Indian Standards.

"Force Majeure" – Unforeseen circumstances beyond the reasonable control of either party, including natural disasters, pandemics, civil unrest, and infrastructure failures.

"Business Days" – Monday to Saturday, excluding national and regional holidays in South India.

"Material Specifications" – Quality standards, dimensions, composition, and other technical parameters as per Indian Standards (IS codes) and BIS requirements.

2. APPLICATION OF TERMS

2.1 Binding Nature

These Terms and Conditions constitute the complete and exclusive agreement between Ravathi Infra and the Buyer regarding the supply of Goods. By placing an Order, visiting the website, contacting the Company, or accepting Goods, the Buyer unconditionally accepts all terms herein.

2.2 Incorporation

These Terms and Conditions are incorporated into and form an integral part of every Order, quotation, and contract for the supply of Goods. No other terms, conditions, or understandings shall apply unless expressly agreed in writing by an authorized representative of Ravathi Infra.

2.3 Supersession

These Terms and Conditions supersede all prior negotiations, representations, agreements, and understandings, whether written or oral, relating to the subject matter hereof.

2.4 Precedence

In the event of any conflict between these Terms and Conditions and:

  • Any quotation provided by Ravathi Infra

  • Any invoice issued by Ravathi Infra

  • Any other communication or document

These Terms and Conditions shall prevail unless expressly modified in writing by a Director or authorized officer of Ravathi Infra.

2.5 Buyer's Terms Rejected

The Buyer's purchase orders, order confirmations, specifications, or other documents containing terms and conditions different from or additional to these Terms and Conditions are explicitly rejected. Any attempt to impose such terms is void unless expressly accepted in writing by Ravathi Infra.

3. ACCEPTANCE OF TERMS

3.1 Methods of Acceptance

By undertaking any of the following actions, the Buyer is deemed to have unconditionally accepted these Terms and Conditions:

  • Placing an Order through the website or any other channel

  • Requesting a quotation or price information

  • Accepting a quotation or Order Confirmation

  • Making payment for Goods

  • Taking delivery of Goods

  • Continuing to use the website after notice of these Terms

3.2 Condition Precedent

Ravathi Infra will not process any Order or provide Goods unless and until the Buyer has accepted these Terms and Conditions. The Company reserves the right to refuse to proceed with any transaction where the Buyer has not clearly accepted these terms.

3.3 Modification of Terms

Ravathi Infra reserves the right to modify these Terms and Conditions at any time without prior notice. Modifications become effective upon posting on the website or notification to the Buyer. Continued use of the website or placement of Orders after modification constitutes acceptance of the amended terms.

4. PRODUCT DESCRIPTION AND INFORMATION

4.1 Product Information Accuracy

All product descriptions, specifications, images, prices, and technical data provided on the website, in quotations, catalogs, brochures, or communications are provided for informational purposes only. While Ravathi Infra endeavors to ensure accuracy, such information is not a binding offer or warranty of accuracy.

4.2 Product Samples and Illustrations

All samples, drawings, descriptive matter, technical specifications, and illustrations provided by Ravathi Infra are for approximate reference only. They do not form part of the Order unless expressly acknowledged in writing. This is not a sale by sample unless otherwise stated.

4.3 Variations in Products

The Buyer acknowledges that:

  • Building materials may have natural variations in color, texture, and appearance

  • Minor dimensional variations within acceptable tolerance limits are normal

  • Environmental factors may affect appearance after installation

  • These variations do not constitute defects unless they exceed Indian Standards limits

4.4 Material Specifications Conformance

All Goods supplied shall conform to the relevant Indian Standards (IS codes) and BIS requirements applicable to that material category. Goods shall be fit for their intended use in construction when used in accordance with:

  • Manufacturer's instructions

  • Indian Standard codes

  • Building codes and regulations

  • Best construction practices

4.5 Compliance Certificates

Ravathi Infra shall provide:

  • ISI marks on products where mandatory

  • BIS certificates or test reports as applicable

  • Quality Compliance Documentation

  • GST invoices with applicable tax information

The Buyer is responsible for verifying that supplied materials meet project-specific requirements and regulatory approvals.

5. ORDERING AND ACCEPTANCE OF ORDERS

5.1 Order Placement

Orders may be placed through:

  • Website online portal (www.ravathiinfra.com)

  • Email to [orders@ravathiinfra.com]

  • Telephone to [Phone Number] during Business Hours

  • In-person at Ravathi Infra facilities

  • Through authorized dealers and representatives

5.2 Order Confirmation

Ravathi Infra shall issue an Order Confirmation within 24 business hours of receiving the Order. The Order Confirmation shall specify:

  • Order number and date

  • Product description and specifications

  • Quantity and unit price

  • Total amount including GST

  • Delivery timeline (estimated)

  • Delivery point and address

  • Payment terms and methods

  • Any special conditions or remarks

5.3 Acceptance of Orders

Ravathi Infra reserves the absolute right to accept or reject any Order, wholly or partially, without assigning any reason. Orders are deemed accepted only after issuance of Order Confirmation. An Order is not binding on Ravathi Infra until:

  • Order Confirmation is issued

  • Full payment (or agreed payment terms) is received

  • Materials are available in stock or can be procured

5.4 Order Specifications

The Buyer must provide complete and accurate specifications, including:

  • Material type, grade, and quality

  • Dimensions and quantity requirements

  • Delivery location and access details

  • Any special instructions or requirements

  • Relevant project information

If the Buyer's specifications are incomplete or unclear, Ravathi Infra may request clarification. Delays caused by incomplete information are not the responsibility of Ravathi Infra.

5.5 Order Modifications

Orders may be modified only with written consent of Ravathi Infra. Modification requests must be submitted before dispatch of Goods. Modifications may result in changes to price, delivery schedule, or other terms. Ravathi Infra shall notify the Buyer of any such changes.

5.6 Order Cancellation

  • Before Dispatch: Orders may be cancelled with written notice to Ravathi Infra. A cancellation fee of up to 10% of order value may apply to cover administrative and material costs.

  • After Dispatch: Orders cannot be cancelled unless expressly agreed in writing. If already dispatched, the Buyer may arrange to refuse delivery, but shall be liable for all associated costs including return transportation, restocking, and handling charges.

  • Material Procured: If materials have been specially procured for the Order, cancellation fees shall be significantly higher or the full order cost may be due.

6. PRICING AND QUOTATIONS

6.1 Quotation Validity

All quotations provided by Ravathi Infra are valid for a period of 7 days from the date of quotation unless otherwise specified. After this period, quotations may be revised, and prices may change without notice due to market fluctuations.

6.2 Price Basis

All prices quoted are:

  • Ex-warehouse (unless otherwise specified)

  • Exclusive of GST (GST shall be added as per applicable rates)

  • Exclusive of transportation charges (unless specified)

  • Exclusive of loading, unloading, and handling charges

  • Based on standard packaging

  • Subject to availability of materials

6.3 Price Changes

Ravathi Infra reserves the right to revise prices at any time without notice due to:

  • Changes in raw material costs

  • Market fluctuations and commodity price variations

  • Changes in GST rates or other taxes

  • Supply chain disruptions

  • Currency fluctuations

Price changes shall be notified to the Buyer through Order Confirmation or invoice.

6.4 Fixed Price Orders

For orders specifically agreed as "Fixed Price" in writing:

  • Prices are fixed for the duration specified (usually 30-90 days)

  • Prices shall not change unless expressly agreed in writing

  • Fixed price orders may have minimum quantity requirements

  • Fixed prices are valid only for the quantity and delivery timeline specified

6.5 Volume Discounts

Bulk purchase discounts may be available based on quantity and frequency of purchases. Bulk pricing must be confirmed in writing and is subject to:

  • Minimum order quantities

  • Single delivery arrangement

  • Regular purchase commitments (if applicable)

  • Material availability

6.6 Taxes and Additional Charges

In addition to the basic product price, the Buyer shall bear all:

  • GST at applicable rates (currently 5% to 28% depending on material)

  • State and local taxes

  • Transportation and logistics charges (unless included in quoted price)

  • Loading, unloading, and handling charges

  • Insurance charges for in-transit coverage

  • Statutory levies and duties

  • Any other applicable taxes or charges

7. PAYMENT TERMS AND CONDITIONS

7.1 Payment Obligation

Payment for Goods is due upon the terms specified in the Order Confirmation and Invoice. All payments must be made in full in Indian Rupees (INR) unless otherwise agreed in writing.

7.2 Payment Terms

Standard Payment Terms:

  • For Cash/Immediate Payment: Full payment before dispatch

  • For Credit Terms (if agreed): Net 15, 30, or 45 days from invoice date (as specified in Order Confirmation)

  • For Government/PSU Projects: May be Net 60 or 90 days, subject to separate written agreement

7.3 Payment Methods

Accepted payment methods include:

  • Direct bank transfer/NEFT/RTGS to Ravathi Infra's account

  • Cheque (cleared funds only)

  • Demand Draft

  • Online payment through website portal

  • Credit/Debit Card (if facility is available on website)

  • Digital wallets and UPI transfers

  • Letter of Credit (for large orders)

Important: Cash payment is accepted only for in-person transactions.

7.4 Payment Details

Complete payment details including bank account information, UPI ID, and payment instructions shall be provided in each Invoice and on the website.

7.5 No Credit Without Agreement

Unless expressly agreed in writing through a formal credit agreement:

  • Ravathi Infra does not provide credit terms

  • Full payment is due before dispatch of Goods

  • The Buyer must provide satisfactory credit references and financial information if requesting credit terms

7.6 Overdue Payment and Interest

If payment is not received by the due date:

Interest on Overdue Amount:

  • Interest shall be charged at the rate of 2% per month (or 24% per annum) on the outstanding balance

  • Interest accrues from the due date until payment is received in full

  • Overdue payments may result in suspension of credit facilities and further supplies

Recovery Actions:

  • Ravathi Infra may suspend further supplies immediately upon non-payment

  • Legal action may be initiated to recover outstanding amounts including interest, penalties, and recovery costs

  • The Company may report non-payment to credit agencies

7.7 Dishonored Cheques/Instruments

If any cheque, draft, or payment instrument is dishonored or bounced:

  • An additional penalty of ₹1,000 to ₹5,000 shall be charged to cover bank charges and administrative costs

  • The amount shall remain due and payable with interest at the rate specified above

  • Legal action may be initiated, and police complaint may be filed as per cheque bounce provisions in the law

7.8 Payment Confirmation

A payment receipt shall be issued only upon receipt of cleared funds. Cheques received are subject to clearance. Until cheque amount is credited to the Company's account, the payment is not considered received.

7.9 Set-Off and Adjustment

The Buyer cannot adjust, set-off, or deduct any amount from invoiced amounts for any reason whatsoever, including:

  • Claimed defects in materials

  • Counter-claims or disputes

  • Delays in delivery

  • Any other alleged breach

All disputes must be resolved separately. Full payment of invoiced amounts is always due.

7.10 Currency and Exchange

All payments must be made in Indian Rupees (INR). If payment is received in any other currency, the Buyer shall bear all conversion, exchange, and banking charges.

8. DELIVERY TERMS

8.1 Delivery Timeline

Estimated Delivery Periods:

  • In-Stock Items: 3-7 business days from order confirmation

  • Made-to-Order Items: 15-30 business days from payment receipt (as specified in Order Confirmation)

  • Bulk Orders: 15-45 business days depending on quantity and production schedule

  • Custom Requirements: Timeline as agreed in writing

Important: All delivery timelines are estimates only. Time is NOT of the essence in these Terms and Conditions. Delays do not constitute grounds for cancellation or refusal of delivery unless exceeding 60 days without cause.

8.2 Delivery Responsibility

  • In-Stock Items: Ravathi Infra arranges transportation through designated logistics partners

  • Buyer-Arranged Transport: If the Buyer arranges transport, materials must be collected within 7 days of notification

  • FOB Terms: If goods are "Free on Board" (FOB), Ravathi Infra's responsibility ends once goods are loaded on the carrier's vehicle

8.3 Delivery Point and Access

The Buyer must ensure:

  • Accurate and complete delivery address

  • Adequate site access for delivery vehicles (minimum 25-ton trucks usually)

  • Availability of loading/unloading equipment or labor

  • Weather protection at the delivery site

  • Compliance with local regulations for material handling

If the site is inaccessible or unprepared, the Buyer shall bear all additional charges for alternative delivery arrangements.

8.4 Delivery Notification

Ravathi Infra shall notify the Buyer:

  • 48 hours before scheduled delivery with driver contact details

  • Delivery timeline (usually a 4-hour window)

  • Material quantity and description

  • Any special handling requirements

The Buyer or authorized representative must be present at the delivery point to receive and verify materials.

8.5 Refusal of Delivery

If the Buyer refuses to accept delivery:

  • All return transportation costs shall be borne by the Buyer

  • Storage charges shall apply for materials held at Ravathi Infra's facility

  • The full invoiced amount remains due and payable

  • Restocking fees of up to 10% may apply

8.6 Delay in Delivery

Causes Beyond Control (Force Majeure):

  • Natural disasters, extreme weather

  • Vehicular breakdowns or accidents

  • Traffic disruptions or road blockages

  • Strikes, civil unrest, or government action

  • Logistics partner delays

In such cases, Ravathi Infra shall notify the Buyer and make reasonable efforts to reschedule delivery. No compensation or penalty is payable for delays caused by force majeure.

Normal Delays:

  • Delays within 15 days of estimated delivery date are considered normal due to operational factors

  • No penalty, discount, or compensation is due for such delays

  • Delays exceeding 30 days without communication shall allow the Buyer to rescind the Order upon written notice, but no compensation is payable

8.7 Delivery Schedule for Large Orders

For bulk or phased delivery orders:

  • Delivery schedule shall be specified in the Order Confirmation

  • Instalments may be delivered as per production and logistics capabilities

  • Each instalment is subject to these Terms and Conditions

  • Failure to receive one instalment does not affect obligation to accept subsequent instalments

8.8 Partial Delivery

Ravathi Infra may deliver Goods in instalments or partial quantities without prior notice if this is necessary or advantageous. Each partial delivery is a separate contract and shall be invoiced separately.

8.9 Regional Delivery Coverage

Ravathi Infra operates primarily across South India, including:

  • Tamil Nadu (including Chennai, Coimbatore, Madurai, Salem, Tiruppur)

  • Karnataka (including Bangalore, Mysore, Mangalore, Hubli)

  • Telangana (including Hyderabad, Warangal, Nizamabad)

  • Andhra Pradesh (including Vijayawada, Visakhapatnam)

  • Kerala (including Kochi, Thiruvananthapuram, Kozhikode)

Deliveries outside this region may be possible but shall incur additional transportation charges.

9. TITLE, OWNERSHIP, AND RISK

9.1 Retention of Title

Risk of loss, damage, or deterioration of Goods passes to the Buyer upon delivery. However, ownership and title in the Goods remain with Ravathi Infra until full payment is received.

9.2 Risk After Delivery

Once Goods are delivered to the Delivery Point:

  • All risk of loss, damage, theft, or deterioration passes to the Buyer

  • The Buyer assumes responsibility for storage, protection, and insurance

  • Ravathi Infra is not liable for any damage or loss after delivery

  • The Buyer must immediately inspect Goods and report any damage

9.3 Inspection and Acceptance

Upon delivery, the Buyer must:

  • Physically inspect all Goods for quantity and visible damage

  • Check for any discrepancies with the Order Confirmation

  • Note any defects or damage on the delivery challan

  • Obtain and retain the delivery challan as proof of receipt

  • Report any issues within 48 hours of delivery

9.4 Deemed Acceptance

If the Buyer fails to report any defects or damage within 48 hours of delivery:

  • The Goods are deemed to have been accepted in satisfactory condition

  • No claims for damage, short quantity, or defects shall be entertained thereafter

  • Payment remains due in full

9.5 Lien Rights

Until full payment is received, Ravathi Infra retains a lien on the Goods. If payment is not made as due:

  • Ravathi Infra may retake possession of the Goods

  • The Buyer shall bear all costs of recovery, transportation, and storage

  • Ravathi Infra may dispose of or resell the Goods, and any shortfall in proceeds shall be recoverable from the Buyer

9.6 Insurance

The Buyer is responsible for obtaining insurance coverage for the Goods:

  • During transportation (if arranged by the Buyer)

  • At the Delivery Point

  • During storage and subsequent use

Ravathi Infra shall not be liable for any loss or damage even if insurance could have been obtained.

10. QUALITY STANDARDS AND COMPLIANCE

10.1 Quality Standards

All Goods supplied by Ravathi Infra shall conform to:

  • Applicable Indian Standards (IS Codes)

  • Bureau of Indian Standards (BIS) requirements and certifications

  • National Building Code specifications where applicable

  • Relevant TNBP, KTBP, or other state-specific standards

  • Manufacturer's published specifications and data sheets

10.2 ISI Mark and Certification

Where ISI marks or BIS certification is mandatory, all Goods shall be supplied with proper ISI marks or BIS certification. The Buyer is responsible for:

  • Verifying authenticity of ISI marks

  • Ensuring materials meet project-specific requirements

  • Obtaining necessary government approvals based on material certificates

10.3 Quality Documentation

Ravathi Infra shall provide:

  • Quality Compliance Certificates

  • Test Reports and Analysis Certificates

  • ISI certificates and marks

  • Material Source Documents (for stones, aggregates, etc.)

  • Batch-specific quality parameters (if requested)

10.4 Buyer's Responsibility for Specifications

The Buyer is solely responsible for:

  • Specifying suitable materials for their intended use

  • Ensuring compliance with project requirements and local building codes

  • Verifying that supplied materials are appropriate for the site conditions

  • Obtaining necessary regulatory approvals and permissions

  • Using materials in accordance with manufacturer instructions and best practices

10.5 No Warranty for Suitability

Ravathi Infra does not warrant that:

  • Supplied materials are suitable for the Buyer's specific application

  • Materials will perform as expected in particular site conditions

  • Materials will meet unstated project requirements

  • Materials comply with project-specific standards or approvals (unless expressly stated)

10.6 Quality Inspections

Ravathi Infra conducts quality checks at the manufacturing or sourcing stage. The Buyer may:

  • Request third-party inspection at their cost

  • Conduct independent testing and verification

  • Reject materials that do not conform to stated specifications (within the inspection period)

10.7 Compliance Responsibility

The Buyer must ensure that:

  • Materials are used in compliance with all applicable laws and regulations

  • Project-specific quality requirements are met through independent verification

  • Installation and usage comply with building codes and manufacturer guidelines

  • No modifications or adulterations are made to materials

Ravathi Infra is not responsible for regulatory compliance issues arising from the Buyer's use of materials.

11. INSPECTION, TESTING, AND ACCEPTANCE

11.1 Inspection Rights

The Buyer has the right to inspect Goods:

  • At the point of delivery

  • At Ravathi Infra's facility (if requested before dispatch, 48 hours notice required)

  • Through independent third-party testing (at Buyer's cost)

11.2 Inspection Timeline

The Buyer must conduct inspection and report any discrepancies:

  • Visible Defects: Within 48 hours of delivery

  • Quantity Shortages: Within 48 hours of delivery

  • Latent Defects: Within 5 days of delivery

  • Quality Issues: Within 7 days of delivery

Reports must be submitted in writing with supporting documentation.

11.3 Testing Procedures

If the Buyer requests testing:

  • Testing shall be conducted by a mutually agreed, independent laboratory

  • Test costs shall be borne by the requesting party

  • Testing shall follow applicable Indian Standards procedures

  • Results shall be accepted by both parties as final

11.4 Acceptance Criteria

Goods are considered accepted when:

  • Quantity matches the Order Confirmation

  • Materials conform to specified Indian Standards

  • No visible defects are present

  • The Buyer has had reasonable opportunity to inspect (48 hours)

  • The Buyer has not reported defects within the specified timeline

11.5 Deemed Acceptance

Failure to report defects within the specified timelines constitutes deemed acceptance. Subsequent claims for defects, damage, or shortages shall not be entertained.

12. WARRANTY AND DEFECTS

12.1 Limited Warranty

Ravathi Infra warrants that:

  • Goods are genuine and sourced from authorized manufacturers/suppliers

  • Goods conform to the specified Indian Standards and BIS requirements at the time of delivery

  • Goods are free from manufacturing defects affecting basic functionality

  • Delivery was made in reasonable condition

12.2 Warranty Period

This limited warranty is effective for:

  • Manufacturing Defects: 30 days from delivery

  • Latent Defects: 90 days from delivery (discoverable only through use)

  • For Critical Materials (Steel, Cement): As per applicable manufacturer warranty

After these periods, no claims shall be entertained.

12.3 Defect Claim Procedure

To claim a defect, the Buyer must:

  1. Report the defect in writing within the warranty period

  2. Provide photographic evidence and test results (if available)

  3. Arrange for joint inspection by Ravathi Infra and an independent expert

  4. Comply with all documentation requirements

12.4 What Constitutes a Defect

A defect is defined as:

  • Manufacturing fault affecting functionality

  • Non-conformance with specified Indian Standards

  • Significant deviation from stated specifications

  • Damage caused by manufacturing or supply process

The following do NOT constitute defects:

  • Natural variations in color, texture, or appearance within IS code tolerances

  • Wear and tear from use

  • Damage caused by improper installation, storage, or handling

  • Damage caused by site conditions (weather, moisture, chemicals)

  • Damage caused by failure to follow maintenance instructions

  • Use of materials beyond their intended purpose

  • Environmental deterioration or aging

  • Issues arising from inadequate building practices

12.5 Remedy for Defects

If a defect is confirmed through joint inspection:

  • Ravathi Infra may, at its discretion:

    • Replace the defective material with a similar quality material

    • Refund the material cost only (transportation costs are non-refundable)

    • Provide a credit note for future purchases

Ravathi Infra's liability shall not exceed the invoiced price of the defective material.

12.6 Exclusions from Warranty

This warranty is expressly excluded for:

  • Materials used beyond their shelf life or expiry date

  • Materials stored in improper conditions

  • Materials subjected to chemical treatments or modifications

  • Materials installed in non-standard applications

  • Damage caused by force majeure events

  • Damage arising from failure to follow installation guidelines

  • Issues caused by mixing materials from different batches or sources

  • Environmental or weather-related deterioration

  • Structural issues or settlement in buildings

12.7 Disclaimer of Other Warranties

EXCEPT AS EXPRESSLY PROVIDED ABOVE, RAVATHI INFRA MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Implied Warranty of Merchantability

  • Implied Warranty of Fitness for a Particular Purpose

  • Implied Warranty of Title or Non-Infringement

  • Any Other Warranty, WHETHER WRITTEN, ORAL, OR ARISING BY COURSE OF DEALING

The Buyer acknowledges that the limited warranty provided is in lieu of all other warranties.

12.8 Manufacturer's Warranty

Where applicable, manufacturer's warranties are assigned directly to the Buyer. Ravathi Infra does not assume responsibility for manufacturer's warranties and disclaims liability therefor.

13. RETURN AND REFUND POLICY

13.1 Return Eligibility

Goods may be returned only under the following conditions:

  • Materials are unused and in original packaging

  • Materials are returned within 7 days of delivery

  • Goods conform to quality standards but are unwanted (rare circumstance)

  • Goods do not conform to Order Confirmation specifications

  • Prior written approval from Ravathi Infra is obtained

13.2 Non-Returnable Items

The following items cannot be returned:

  • Made-to-order or customized materials

  • Materials cut, shaped, or processed for specific use

  • Opened packaging of adhesives, sealants, or liquids

  • Damaged materials due to Buyer's handling or storage

  • Materials that have been used or installed

  • Materials where shelf life or expiry date has passed

  • Bulk or economy-size purchases (typically non-returnable unless defective)

  • Materials purchased in special sale or clearance events

13.3 Return Process

To return eligible materials:

  1. Obtain Authorization: Submit written return request within 7 days with reason

  2. Receive Return Authorization (RMA) Number: Ravathi Infra shall issue RMA number if approved

  3. Arrange Logistics: Buyer shall arrange return transportation at own cost

  4. Submit Documentation: Include original invoice, delivery challan, and RMA number

  5. Inspection: Ravathi Infra shall inspect returned materials for eligibility

  6. Processing: If approved, refund shall be processed as per Section 13.4

13.4 Refund Terms

If return is approved:

Refund Amount:

  • Refund covers material cost only

  • GST paid is refundable as per tax regulations

  • Transportation charges (original and return) are non-refundable

  • Loading, unloading, and handling charges are non-refundable

  • Storage charges may be deducted if materials were held

Refund Timeline:

  • Refund shall be processed within 15-20 business days after inspection and approval

  • Refund shall be credited to the original payment method

  • No interest is payable on refunded amounts

13.5 Return Costs

All return transportation costs are borne by the Buyer. Return material must be:

  • Properly packaged to prevent damage

  • Labeled with RMA number and order details

  • Shipped to Ravathi Infra's designated address

  • Delivered in original or better condition

13.6 Inspection of Returned Materials

Upon receipt, returned materials shall be inspected for:

  • Completeness of packaging

  • Damage or deterioration

  • Evidence of use or installation

  • Condition upon return

If materials do not meet return criteria or are found to be used/damaged, the return shall be rejected and materials returned to the Buyer at their cost.

13.7 No Refund After Acceptance

Once materials have been:

  • Installed or incorporated into a structure

  • Mixed or blended with other materials

  • Subjected to environmental exposure

  • Modified or processed

No return or refund shall be allowed under any circumstances, even if subsequently found to be defective.

14. LIABILITY AND LIMITATION OF LIABILITY

14.1 General Limitation

IN NO EVENT SHALL RAVATHI INFRA BE LIABLE FOR:

  • Direct Damages exceeding the invoiced price of the material

  • Indirect Damages of any nature whatsoever

  • Consequential Damages including loss of profits, business interruption, or lost business opportunity

  • Special Damages arising from reliance on materials or information

  • Incidental Damages such as repair costs, labor costs, or project delays

  • Punitive or Exemplary Damages

14.2 Maximum Liability Cap

Ravathi Infra's total aggregate liability for any and all claims arising out of or related to the supply of Goods shall not exceed the invoiced price of the materials in question.

This limitation applies regardless of:

  • The nature of the claim (contract, tort, negligence, strict liability, etc.)

  • Whether Ravathi Infra was advised of the possibility of such damages

  • Whether the claim arises from breach of warranty, defect, or any other cause

14.3 Exclusion of Liability

Ravathi Infra shall not be liable for:

  • Project Delays: Delays caused by unavailability of materials, supply chain disruptions, or logistics issues

  • Construction Delays: Failure of the project to progress on schedule

  • Defective Workmanship: Poor installation or improper use of materials

  • Structural Failures: Collapse, settlement, or failure of structures due to design, execution, or other factors

  • Environmental Damage: Pollution, contamination, or environmental impact

  • Personal Injury or Death: Injury caused by materials, unless directly attributable to Ravathi Infra's gross negligence

  • Third-Party Claims: Claims from third parties arising from the Buyer's use of materials

  • Regulatory Non-Compliance: Failure to comply with building codes or regulatory requirements

14.4 Buyer's Sole Remedy

If materials supplied are defective or non-conforming:

  • The Buyer's sole and exclusive remedy is limited to replacement of defective materials or refund of the material cost (as provided in Section 12.5)

  • No other remedy, claim, or damages are available

  • This limitation applies even if such remedy proves inadequate

14.5 Force Majeure and Liability

Ravathi Infra shall not be liable for any failure or delay in performance due to force majeure events, including:

  • Natural disasters (earthquakes, floods, hurricanes, etc.)

  • Pandemics or epidemics

  • War, civil unrest, or terrorism

  • Government action or embargo

  • Strike, lockout, or labor disputes

  • Power failures or infrastructure disruptions

  • Logistics partner failures

  • Raw material shortages

14.6 Acceptance of Liability Limitations

By accepting these Terms and Conditions, the Buyer:

  • Expressly acknowledges the limitation of liability provisions

  • Waives any right to claim damages beyond the specified limits

  • Assumes all risk of loss or damage arising from the use of materials

  • Accepts responsibility for obtaining appropriate insurance coverage

15. FORCE MAJEURE

15.1 Definition

Force majeure events are unforeseen circumstances beyond the reasonable control of either party that prevent or delay performance of obligations. These include:

Natural Events:

  • Earthquakes, landslides, floods, droughts

  • Cyclones, hurricanes, tornadoes, storms

  • Extreme weather conditions

  • Volcanic eruptions

Health and Safety Events:

  • Pandemics, epidemics, or disease outbreaks

  • Government-imposed lockdowns or quarantines

  • Public health emergencies

Political and Civil Events:

  • War, armed conflict, or invasion

  • Civil unrest, riots, or terrorism

  • Government action, embargoes, or sanctions

  • Strikes, lockouts, or labor disputes (not involving Ravathi Infra's employees)

Infrastructure Failures:

  • Power outages or grid failures

  • Telecommunications disruptions

  • Transportation blockades or road closures

  • Port closures or shipping disruptions

Supply Chain Events:

  • Shortage of raw materials

  • Supplier failures or bankruptcies

  • Logistics partner disruptions

15.2 Effect of Force Majeure

Upon occurrence of a force majeure event:

Ravathi Infra may:

  • Suspend performance of obligations without liability

  • Delay delivery or supply of materials

  • Reschedule orders for a later date

  • Cancel orders with written notice (no penalty)

The Buyer shall:

  • Not be relieved from payment obligations for materials already delivered

  • Accept delayed delivery when normal conditions resume

  • Cooperate with Ravathi Infra to minimize impact

15.3 Notice of Force Majeure

Upon becoming aware of a force majeure event that will affect performance:

  • Ravathi Infra shall notify the Buyer within 5 business days

  • Notification shall include expected duration and likely impact

  • Ravathi Infra shall provide regular updates on the situation

15.4 Duration and Resumption

Performance obligations shall resume when:

  • The force majeure event has ended or significantly diminished

  • Normal operating conditions are restored

  • It becomes reasonably feasible to resume performance

Extended force majeure events lasting more than 30 days may result in order cancellation or rescheduling upon mutual agreement.

15.5 No Penalty for Force Majeure

Neither party shall be liable for failure to perform due to force majeure events. No compensation, penalty, or damages are payable for delays or non-performance caused by force majeure.

16. INTELLECTUAL PROPERTY RIGHTS

16.1 Ownership of IP

All intellectual property rights in:

  • Website content, design, and layout

  • Product specifications and technical data

  • Catalogs, brochures, and marketing materials

  • Proprietary processes and methodologies

  • Trademarks, logos, and brand names

Are the exclusive property of Ravathi Infra or its licensors.

16.2 Limited License to Use

The Buyer is granted a limited, non-exclusive, non-transferable license to use the website and materials:

  • For personal or business purposes in relation to purchase of Goods

  • For internal project documentation

  • Not for commercial distribution or resale without permission

16.3 Restrictions

The Buyer shall not:

  • Reproduce, copy, or distribute website content

  • Modify, adapt, or create derivative works

  • Use content for commercial purposes without written permission

  • Remove or alter copyright, trademark, or proprietary notices

  • Display content on other websites without authorization

  • Use Ravathi Infra's trademarks or branding without permission

16.4 Buyer's Content

17. CONFIDENTIALITY

Both parties agree to maintain confidentiality of:

  • Pricing and payment terms (unless public information)

  • Business strategies and plans

  • Customer lists and transaction details

  • Technical specifications and proprietary information

  • Any information marked as confidential

17.2 Permitted Disclosure

Information may be disclosed:

  • To employees, contractors, and agents with a need-to-know

  • To legal advisors and accountants for compliance purposes

  • To lenders and financial institutions if required

  • As required by law, regulation, or court order

  • To relevant government authorities

17.3 No Confidentiality for Public Information

Confidentiality obligations do not apply to information that:

  • Is already in the public domain

  • Was independently developed without reliance on confidential information

  • Was rightfully obtained from third parties

  • Is generally known in the industry

18. INDEMNIFICATION

18.1 Buyer's Indemnification

The Buyer shall indemnify, defend, and hold harmless Ravathi Infra and its officers, employees, and agents from:

  • Claims arising from the Buyer's use of materials

  • Breach of these Terms and Conditions by the Buyer

  • Violation of applicable laws or regulations

  • Infringement of third-party rights

  • Misuse, misrepresentation, or misapplication of materials

  • Personal injury or property damage caused by the Buyer's actions

  • Non-payment or payment disputes

18.2 Indemnification Process

Upon notice of an indemnifiable claim:

  • Ravathi Infra shall promptly notify the Buyer

  • The Buyer shall assume defense of the claim at its own cost

  • Ravathi Infra shall cooperate in the defense

  • Settlement shall require mutual written consent

18.3 Conditions

Indemnification obligations shall apply only if:

  • Ravathi Infra provides prompt notice of the claim

  • Ravathi Infra cooperates reasonably in the defense

  • Ravathi Infra does not settle without Buyer's consent

  • The claim arises from the Buyer's actions or omissions

19. TERMINATION AND CANCELLATION

19.1 Termination Rights

Ravathi Infra may terminate the relationship with the Buyer immediately upon written notice if:

  • The Buyer breaches any material term of these Terms and Conditions

  • The Buyer fails to pay invoiced amounts within 30 days

  • The Buyer engages in fraudulent or illegal activities

  • The Buyer repeatedly violates these terms

  • The Buyer becomes insolvent or bankrupt

19.2 Effect of Termination

Upon termination:

  • All pending Orders may be cancelled

  • Credit facilities (if any) shall be suspended

  • All outstanding amounts become immediately due

  • The Buyer shall return or destroy all Company materials and confidential information

  • Sections 12-18 and 22-25 shall survive termination

19.3 Order Cancellation by Company

Ravathi Infra may cancel any Order if:

  • Materials cannot be procured or produced within reasonable time

  • Force majeure prevents fulfillment

  • The Buyer requests cancellation (subject to cancellation charges per Section 5.6)

  • The Buyer becomes insolvent or unable to pay

20. USER CONDUCT AND RESTRICTIONS

20.1 Prohibited Conduct

The Buyer shall not:

  • Use the website for illegal, fraudulent, or harmful purposes

  • Attempt to access unauthorized portions of the website

  • Interfere with website operation or security

  • Upload malicious code or viruses

  • Harass, threaten, or defame others

  • Violate any applicable law or regulation

  • Infringe third-party intellectual property rights

  • Engage in spam, phishing, or social engineering

  • Resell information obtained from the website

20.2 Account Responsibilities

  • The Buyer is responsible for maintaining account confidentiality

  • Parties shall meet and discuss the dispute in good faith

  • Communications shall be between authorized representatives

Step 2 - Escalation (15 days):

  • If unresolved, the matter shall be escalated to senior management

  • Meeting shall be held to attempt resolution

Step 3 - Mediation (Optional, 15 days):

  • Parties may mutually agree to mediation

  • A mutually agreed mediator shall facilitate resolution

If unresolved after these steps, either party may proceed to arbitration.

22.3 Arbitration

Arbitration Agreement:
Both parties agree that any dispute, claim, or controversy arising from or relating to these Terms and Conditions or the supply of Goods shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996.

Arbitration Proceedings:

  • Number of Arbitrators: One arbitrator (agreed upon by parties) or three arbitrators (appointed as per Arbitration Act)

  • Arbitrator Qualifications: The arbitrator(s) shall preferably have experience in construction materials or commercial disputes

  • Venue: Arbitration shall be conducted in [City of Ravathi Infra's principal place of business in South India]

  • Language: Proceedings shall be conducted in English or Tamil (by mutual agreement)

  • Rules: Proceedings shall follow the Arbitration and Conciliation Act, 1996, and the Rules of the Arbitration Authority

Each party shall bear its own costs including legal fees, representation, and expert witnesses. Arbitrator fees and administrative costs shall be borne equally by both parties unless the arbitrator determines otherwise based on merits.

22.5 Arbitration Award

  • The arbitrator's decision shall be final and binding on both parties

  • The award shall be in writing with reasons

  • The award shall be enforceable by court order under Section 36 of the Arbitration and Conciliation Act, 1996

22.6 Court Jurisdiction

Exclusive Jurisdiction is granted to courts in:

  • Tamil Nadu (if principal office is in Chennai)

  • Karnataka (if principal office is in Bangalore)

  • Telangana (if principal office is in Hyderabad)

  • Or such jurisdiction as relevant to Ravathi Infra's principal place of business in South India

For execution of arbitration awards or for matters that cannot be arbitrated, the courts in the above jurisdictions shall have exclusive jurisdiction.

22.7 Waiver of Jury Trial

Each party waives the right to trial by jury (if applicable) and consents to arbitration as the exclusive dispute resolution mechanism.

22.8 Class Action Waiver

Disputes shall be resolved on an individual basis. Class action lawsuits are not permitted under these Terms and Conditions.

23. GOVERNING LAW

23.1 Applicable Law

These Terms and Conditions are governed by and shall be interpreted in accordance with the laws of India, specifically:

  • The Indian Contract Act, 1872 – For general contractual principles
